IMPORTANT—PLEASE READ CAREFULLY.  These Terms of Use (“Terms”) form a legally binding agreement between you (“you” or “User”) and Pace Online (Pty) Ltd (“Pace Online”, “we”, “our”, or “us”), a private company incorporated in South Africa, governing your access to and use of the website located at https://paceonline.co.za and any sub‑domains (collectively, “Website”).  By accessing or using the Website you agree to be bound by these Terms and our Privacy Policy.  If you do not agree, do not use the Website.

 

  1. Who may use the Website

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Website.  By using it, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

 

  1. Changes to the Terms

We may update these Terms from time to time.  Any changes take effect when posted on the Website, and your continued use after the “Last updated” date constitutes acceptance of the revised Terms.  Material changes will be highlighted or notified via reasonable means (for example, by email if you have an account).

We grant you a limited, revocable, non‑exclusive, non‑transferable licence to access and use the Website for lawful, personal or internal business purposes, subject to these Terms.  We may modify, suspend or discontinue any part of the Website at any time without liability.

Certain features (e.g. customer portals or SaaS dashboards) may require you to create an account.

  • You must provide accurate information and keep it updated.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  • Notify us immediately of any unauthorised use or security breach.

 

  1. Acceptable Use

You agree NOT to:

  1. a) violate any applicable law (including POPIA, GDPR, U.S. export controls, or local regulations);
  2. b) infringe or misappropriate our intellectual‑property rights or those of others;
  3. c) upload or transmit viruses, malware, or harmful code;
  4. d) interfere with or disrupt the integrity or performance of the Website or our systems;
  5. e) attempt to gain unauthorised access to accounts, networks or data;
  6. f) use any robot, spider, scraper or other automated means to access the Website for any purpose without our express written permission;
  7. g) impersonate any person or entity or otherwise misrepresent your affiliation with us.

 

  1. Intellectual Property

All content on the Website—including text, graphics, logos, software and compilations—is owned by or licensed to Pace Online and protected by South‑African and international intellectual‑property laws.  Except as expressly permitted in Section 3, no part of the Website may be copied, reproduced, distributed, modified, or used to create derivative works without our prior written consent.

The Website may contain links to third‑party websites or services not owned or controlled by us.  We do not endorse and are not responsible for any third‑party content, products or services.  Accessing third‑party sites is at your own risk and subject to their terms and policies.

 

  1. Feedback

If you send us ideas, suggestions, or other feedback about the Website or our products (“Feedback”), you grant Pace Online a perpetual, worldwide, royalty‑free licence to use, reproduce, modify and commercialise the Feedback without obligation to you.

THE WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND.  TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACE ONLINE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.  WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR‑FREE, SECURE, OR FREE OF VIRUSES.

 

  1. Limitation of Liability

TO THE FULL EXTENT PERMITTED BY LAW, PACE ONLINE (INCLUDING ITS DIRECTORS, EMPLOYEES, AGENTS AND AFFILIATES) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED ONE THOUSAND RAND (ZAR 1,000) OR THE AMOUNT YOU PAID US, IF ANY, IN THE SIX MONTHS PRECEDING THE CLAIM—WHICHEVER IS GREATER.

 

  1. Indemnity

You agree to indemnify and hold harmless Pace Online, its directors, employees and affiliates from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Website, your violation of these Terms, or your infringement of any rights of a third party.

 

  1. Suspension & Termination

We may suspend or terminate your access to the Website immediately, without notice, if we believe you have violated these Terms or applicable law.  All provisions which by their nature should survive termination (such as intellectual‑property rights, disclaimers, limitation of liability and indemnity) shall survive.

 

  1. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict-of‑laws principles.  You consent to the exclusive jurisdiction of the South‑Gauteng High Court, Johannesburg, for any dispute arising out of or relating to these Terms or the Website.

 

  1. Dispute Resolution

Before initiating formal proceedings, you and Pace Online agree to attempt to resolve the dispute informally within 30 days of written notice.  If the dispute is not resolved, either party may pursue legal remedies in the courts specified above.

 

  1. Severability

If any provision of these Terms is held unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

 

  1. No Waiver

Our failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.

 

  1. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.  We may assign our rights or obligations at any time without notice.

 

  1. Entire Agreement

These Terms, together with any additional policies referenced herein, constitute the entire agreement between you and Pace Online regarding use of the Website and supersede all prior agreements, understandings or arrangements (whether oral or written).

  • request demos or quotes for our products (e.g. Uniflo, DigiCargo, Stevedoring App);
  • subscribe to our newsletters or marketing updates;
  • apply for employment with Pace Online;
  • are otherwise in contact with us as a customer, supplier or partner.

We never sell your data. We may share it only with:

  • Cloud & hosting providers (e.g. Google Cloud Platform, AWS, Hetzner)
  • Analytics & marketing partners (list each vendor)
  • Payment processors (if you purchase licences online)
  • Professional advisers & auditors (under NDA)
  • Regulators, courts, law-enforcement when legally required.

All suppliers are bound by written contracts that meet GDPR Art 28 and POPIA S21 processor obligations.

 

  1. International transfers

Our primary servers are in South Africa and the EU. Where data moves outside South Africa or the European Economic Area, we rely on:

  • adequacy regulations (GDPR Art 45);
  • Standard Contractual Clauses (SCCs) / approved POPIA transfer mechanisms;
  • or your explicit informed consent.

 

  1. Data retention

We keep personal data only as long as needed for the purpose collected or as required by law:

  • Enquiry records: 24 months after last contact if no contract follows.
  • Customer account data: duration of contract + 5 years (tax rules).
  • Analytics logs: 26 months (Google Analytics default) unless you opt out.
  • Recruitment files: 12 months after position is filled, unless consent to keep on file longer.

 

  1. Security

We implement administrative, technical and physical safeguards, including:

  • TLS 1.3 encryption in transit;
  • AES-256 encryption at rest for production databases;
  • role-based access control, MFA for staff;
  • annual penetration testing;
  • ISO 27001-aligned policies.

 

  1. Your rights

Under POPIA (Sections 23–25) & GDPR (Articles 12–22) you may…

  • access the personal information we hold about you;
  • request correction or deletion (‘right to erasure’ / ‘forget’);
  • object to or restrict processing (incl. direct marketing);
  • withdraw consent at any time;
  • receive your data in machine-readable format (data portability);
  • lodge a complaint with the Information Regulator (South Africa) or a supervisory authority in the EEA.

How to exercise your rights

We may need to verify your identity (e.g. copy of ID, proof of address) before acting. We aim to respond within 30 days (POPIA) / 1 month (GDPR).

Our Website and services are aimed at professionals and are not intended for children under 16. We do not knowingly collect data from minors. If you believe we have done so inadvertently, please contact us for immediate deletion.
